What is exchange of contracts?

Until now the transaction is not binding on either party. All you have is a “gentleman’s agreement”. You may also be involved in a chain of transactions in which nobody will want to exchange contracts on their purchase before they have exchanged contracts on their sale. The parties to the transaction are legally bound only when a completion date is agreed and contracts are formally exchanged. This will only take place with your clear and specific instructions. Once contracts have been exchanged if you break the contract then you may face a substantial financial penalty.
